Terms and Conditions

1. Monthly Payment Dues. The monthly fee will be x in membership fees. Payment is due before the first day of Tenancy contract start date and is late if received after the 5th day of Tenancy contract start date (10% late fee applied on the 6th day).

2. These Terms and Conditions enforceable from the moment of both parties have signed Tenancy Agreement on the office, meeting room, flexi-desk or event space rental.

3. Client Rights in the Premises. Client(s) may share all of the common spaces (e.g., Client lounge, hallways, and restrooms.) in the Premises equally with the other Clients. Clients cannot sublease space nor resell any services already offered and sold by EHBC. This includes, and is not limited to, sharing, gifting, or reselling meeting room hours.

4. Guests. A guest is defined as a person or persons that are visiting a Client for a period not to exceed 2-3 hours per day.

5. Noise Level. Clients will maintain a noise level that will permit all Clients to work without disturbance.

6. Termination Notice. EHBC further reserves the right to terminate Client’s participation in the use of any Services, immediately and without notice, if the Client or Client’s guest fails to adhere to the Community Clients Etiquette (enclosed).

The EHBC services provides to Clients, the undersigned (including but not limited to use of office space and access to the Internet), are subject to the following Terms of Use ("TOU").

EHBC reserves the right to update the TOU at any time. EHBC will attempt to contact the Client to notify the Client of any updates within 30 days of their enactment using the contact information provided in the Membership Agreement.

7. No Unlawful or Prohibited Use.

As a condition of the Client’s use of the Services, the Client will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. The Client may not use the Services in any manner that could damage, disable, overburden, or impair any EHBC server, or the network(s) connected to any EHBC server, or interfere with any other party's use and enjoyment of any Services. The Client may not attempt to gain unauthorized access to any Services, accounts, computer systems or networks connected to any EHBC server or any of the Services, through hacking, password mining or any other means. The Client may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

At this moment, the Client represent and warrant that the Client have all requisite legal power and authority to enter into and abide by the terms and conditions of this TOU. No further authorization or approval is necessary. The Client further represents and warrant that Client’s participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement, or other instrument or obligation to which the Client are a party.

The Client agrees that when participating in or using the Services, the Client will not: Client credits may not be transferred to next month, resold, shared, or gifted. Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited message (commercial or otherwise); Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through EHBC Services; Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as a limitation, copyright or trademark laws (or by rights of privacy or publicity) unless the Client own or control the rights thereto or have received all necessary consent to do the same;

Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary rights of any party;

Upload files contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another; Download any file(s) that the Client know, or reasonably should know, cannot be legally reproduced, displayed, performed, and distributed in such manner;

Restrict or inhibit any other user from using and enjoying the Services; Violate any code of conduct of other guidelines which may be applicable for any particular service); Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;

Violate any applicable laws or regulations;

EHBC reserves the right at all times to disclose any information about the Client, Client’s participation in and use of the Services as EHBC deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in EHBC's sole discretion.

Confidentiality.

The Client acknowledges and agree that during Client’s participation in and use of the Services, the Client may be exposed to Confidential Information. "Confidential Information" shall mean all information, in whole or in part, that is disclosed by EHBC, or any participant or user of the Services or any employee, affiliate, or agent thereof, that is nonpublic, confidential or proprietary.

Confidential information also includes, without limitation, information about the business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of EHBC or, any analyses, compilations, studies or other documents prepared by EHBC, or otherwise derived in any manner from the Confidential Information and any information that the Client are obligated to keep confidential or know or has reason to know should be treated as confidential.

Client’s participation in and/or use of the Services obligates the Client to maintain all Confidential Information in strict confidence; not to disclose Confidential Information to any third parties; not to use the Confidential Information in any way directly or indirectly detrimental to EHBC, or any participant or user of the Services.

All Confidential Information remains the sole and exclusive property of EHBC or the respective disclosing party. The Client acknowledges and agrees that nothing in this TOU or Client’s participation or use of the Services will be construed as granting any rights to the Client, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary rights of EHBC, or any participant or user of the Services. Participation In or Use of Services.

The Client acknowledges that the Clients are participating in or using the Services at Client’s own free will and decision. The Client acknowledges that EHBC does not have any liability concerning Client’s access, participation in, use of the Services, or any loss of information resulting from such participation or use.

8. Disclaimer of Warranties.

To the maximum extent permitted by applicable law, EHBC provides the services "as is" and with all faults, and hereby disclaim with respect to the services all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, professional effort and lack of negligence. Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description, or non-infringement. The entire risk as to the quality or arising out of participation in or the use of the services, remains with the Client.

Exclusion of Incidental, Consequential, and Certain Other Damages.

To the maximum extent permitted by applicable law, in no event shall EHBC or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, Clients, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for: loss of profits, loss of confidential or additional information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of EHBC, and even if EHBC has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply.

9. Limitation of Liability and Remedies.

Notwithstanding any damages that the Client might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of EHBC or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, Clients, representatives, employees, successors and assigns under any provision of this TOU and Client’s exclusive remedy for all of the foregoing shall be limited to actual damages incurred by the Client based on reasonable reliance up to fifty Derhams (AED 50.00). The preceding limitations, exclusions, and disclaimers (including sections 8 and 9 above) shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose. Indemnification.

The Client releases, and hereby agrees to indemnify, defend and save harmless EHBC and EHBC's subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, Clients, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of Client’s negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services. The Client further agrees in the event that the Client bring a claim or lawsuit in violation of this agreement, the Client shall be liable for any attorneys' fees and costs incurred by EHBC or its respective officers and agents in connection with the defense of such claim or lawsuit.

10. Severability.

In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

**Community Guidelines **

Respect meeting space and policy (rooms, schedule, credits) Please utilize the Client booking portal Nexudus to find out the available times and dates for each meeting room or event space. Not being conscientious of schedule times may negatively impact others. If a long and important meeting is in Client’s week's calendar, please reserve a meeting room. Client Credit may not be resold, shared, or gifted. Monthly credits do not rollover.

11. Cleanup

Cleanliness is essential, but especially in coworking spaces. With coworkers sharing one big space, please ensure the temporary flex or dedicated desk is clean and tidy before the Client leaves. Don't forget to toss Client’s coffee cup and space napkins, either. Common Sense in the Common Space. As a general rule, treat the space like how the Client wants Client’s home to be treated. This means eating only in designated areas, brushing up on the visitor policy, not taking items that are not Client’s, screaming in the hallways etc. While this should go without saying, avoid discriminator behavior and harassment toward fellow Clients - it's their space too!

12. Respect Boundaries

Please be mindful of other people's space. While our dining area is assumed to be shared, a flexi desk is off-limits. If the Client see someone wearing headphones or immured at work, don't distract them. This is an excellent opportunity to message fellow coworking Client via messenger.

13. Contribute to our community.

Ready to contribute? Not with money but with THE CLIENT. While EHBC becomes an ambassador for the Client as soon as the Client signs-up, we still strongly encourage our Client to network, introduce Client’s self and what brings the Client to mesh. Welcome to our work family.
